NOTICE OF SALE

UNDER AND BY VIRTUE of the authority contained in a
certain Order entered by the Honorable Julia Byrd, Assistant Clerk of
Superior Court for the County of Wilkes on the 7th day of
November, 2012, in a special proceeding therein entitled Virginia
Franklin, Widow, et al, vs. Harold Burcham, et al, designated as 2012
SP 241, the undersigned Commissioner, by and through Great State
Auction Company and, in particular, Randall Woodruff, will on Saturday,
March 16, 2013, at 12:00 Noon on the grounds of the property, located
in Edwards Township on Byrd Road, Roaring River, North Carolina, and
being further described by as being all of that property depicted
by the Wilkes County Tax Mapping Office identified as Tax Parcel
Id Numbers 0602075 and 0601147, offer for sale to the highest bidder
for cash, those certain tracts or parcels of land described as Tract
One, Tract Two, Tract Three and Tract Four, attached hereto,
under the following terms and conditions:
1. This sale is subject to ad valorem taxes and such other liens as may appear of record.
2. THE UNDERSIGNED
COMMISSIONER SHALL BY AND THROUGH HIS AGENT, RANDALL WOODRUFF OF GREAT
STATE AUCTION COMPANY OFFER THE FOLLOWING LANDS FOR SALE IN
THREE SEPARATE SALES IN THE FOLLOWING MANNER:
A.
SALE ONE: The two tax parcels shall be divided into four tracts,
Tract One, containing 6.738 acres; Tract Two, containing 70.486 acres;
Tract Three, containing 51.709 acres; and Tract Four, containing 47.733
acres. Each of the four tracts shall be offered for sale
separately to the highest bidder.
B. SALE TWO: At the conclusion of the bidding
for the separate Tracts One, Two, Three and Four, Tracts One and
Two shall be combined and offered as one unit for sale to the highest
bidder and thereafter Tracts Three and Four shall be combined and
offered for sale as one unit to the highest bidder.
C. SALE THREE: At the conclusion of the bidding
for combined Tracts One and Two and combined Tracts Three and Four, all
four tracts shall be offered for sale as one entire unit to the highest
bidder.
3.
At the conclusion of the bidding for all three sales described
hereinabove, the Commissioner shall accept the higher of:
A. The sum of the high bid for the separate sale of Tract One, Tract Two, Tract Three and Tract Four, or;
B.
The sum of the high bid for the sale of Tract One and Two combined and
the sum of the high bid for the sale of Tract Three and Four combined,
or;
C. The high bid for the combined sale of all four tracts.
4. The highest offer accepted by the Commissioner
shall remain open for upset bids for a period of ten (10) days from the
date the Report of Sale is filed as by law provided. The method by
which the highest offer was accepted by the Commission at auction will
be the method used for all upset bids.
5. The property to be offered pursuant to this notice
of sale is being offered for sale, transfer and conveyance “AS IS,
WHERE IS.” The commissioner makes no representations or warranties
relating to the title or any physical, environmental, health or safety
conditions existing in, on, at or relating to the property being
offered for sale, and any and all responsibilities or liabilities
arising out of or in any way relating to any such condition expressly
are disclaimed. This sale is made subject to all prior liens and
encumbrances, and unpaid taxes and assessments.
6. The successful (highest) bidder shall be required
to make a cash deposit at the time of sale in the amount of 5% of the
highest bid. Any successful bidder shall be required to tender the full
balance of the purchase price so bid, including the five percent (5%)
buyer’s premium as set out hereinafter, in cash or certified check at
the time the undersigned commissioner tenders, or attempts to tenders,
to the successful bidder, a deed for the property. Should the
successful bidder fail to pay the full balance of the purchase price so
bid at that time, and the five percent (5%) buyer’s premium, the
successful bidder shall remain liable on the bid as by law provided.
7. This sale shall be held open for upset bids as by law provided.
8. This sale is made pursuant to Chapter 1, Article 29A of the North Carolina General Statutes.
9. Randall Woodruff of Great State Auction Company is
the agent of the undersigned commissioner. Broker and seller have
agreed that this sale is to be conducted by including a buyer’s premium
of five percent (5%) upon the final high bid price accepted by the
Court. The actual contract sales price shall be the sum of the
confirmed high bid plus the buyer’s premium of five percent (5%) of
said high bid. Any bidder acknowledges and agrees that inclusion and/or
payment of the buyer’s premium shall not make broker the agent of the
bidder/buyer and that the broker continues as the agent of the
commissioner in the sale of said property.
10. The successful bidder’s inability to secure a
loan for the balance of the sale proceeds is not an excuse to void the
sale/purchase.
